{"abstract":"In accordance with a recent recommendation of the Report of the Task Force on Disclosure Simplification published March 5, 1996, the Securities and Exchange Commission (``Commission'') today is publishing for comment a proposal to amend the rules relating to the reporting of beneficial ownership in publicly-held companies. Similar amendments were proposed in 1989 but were not acted upon by the Commission. These reproposals would make Schedule 13G available, in lieu of Schedule 13D, to all investors beneficially owning less than 20 percent of the outstanding class that have not acquired or held the securities for the purpose of and do not have the effect of changing or influencing the control of the issuer of the securities.
