On July 3, 2013, the Municipal Securities Rulemaking Board (“MSRB”) filed with the Securities and Exchange Commission (“Commission”), pursuant to Section 19(b)(1) of the Securities Exchange Act of 1934 (the “Act”) [1] and Rule 19b-4 thereunder,[2] a proposed rule change consisting of amendments to MSRB Rule A-3 to modify the standard of independence for public Board members. The proposed rule change was published for comment in the Federal Register on July 24, 2013.[3] The Commission received nine comment letters on the proposal.[4] On September 6, 2013, pursuant to Section 19(b)(2) of the Act,[5] the MSRB granted an extension of time for the Commission to act on the filing until October 22, 2013. The MSRB submitted a response to comments on September 6, 2013.[6] On October 4, 2013, the Exchange withdrew the proposed rule change (SR-MSRB-2013-06).
